Terms of Service

1. Who we are and what this service is

Iron North Ledger ("we," "us," "our," "Iron North Ledger," or "the Service") is operated from Kitchener, Ontario, Canada. Iron North Ledger is a trade-logging and cost-basis reporting tool. It computes realized capital gains and losses — FIFO for US accounts, Adjusted Cost Base (ACB) for Canadian accounts — from trade data you enter, and generates year-end summaries and export files (Form 8949-style for US accounts, Schedule 3-style for Canadian accounts) intended to assist with tax preparation. We serve users located in both Canada and the United States.

By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What this service is not

Iron North Ledger is not investment advice, tax advice, or legal advice, and we are not a registered investment advisor, broker-dealer, portfolio manager, or accounting firm. Nothing the Service produces — including the tax report, capital-gains computations, Form 8949 / Schedule 3 style exports, wash-sale and superficial-loss computations, or any other output — is a recommendation to buy, sell, or hold any security, and none of it should be relied on as a substitute for advice from a qualified, licensed professional.

Tax computations are not preparer-verified. As of this writing, the tax-computation logic in Iron North Ledger has not been reviewed line-by-line by a professional tax preparer or accountant. You are responsible for having a qualified tax professional review any figures before relying on them for an actual filing. This matches the notice shown directly on the tax report page inside the product — if the two ever conflict, treat the in-product notice as current, and let us know so we can fix this page.

3. Eligibility and your account

You must be able to form a binding contract to use the Service — in most cases, this means you are at least the age of majority in your province, state, or territory of residence. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Tell us immediately if you believe your account has been accessed without your authorization.

You must provide accurate information when creating your account, and you are solely responsible for the accuracy of the trade and portfolio data you enter — the Service's calculations are only as correct as the data you provide.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or in violation of any applicable local, provincial, state, federal, or international law;
• Attempt to gain unauthorized access to another user's account or data, or to any part of the Service you are not authorized to access;
• Interfere with or disrupt the integrity or performance of the Service, including by attempting to probe, scan, or test its vulnerability without our express written permission, or by introducing malware;
• Scrape, harvest, or otherwise systematically extract data from the Service other than your own account data through the features we provide for that purpose;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Use the Service to store or transmit data you do not have the right to store or transmit.

5. Subscriptions and billing

Iron North Ledger does not currently process payments. When paid subscription plans launch, this section will describe pricing, billing cycles, cancellation, and refunds, and payment processing will be handled by a third-party payment processor (Stripe) — we do not store your full payment card details ourselves. We will update this page and the accompanying Privacy Policy before any billing goes live, and notify existing account holders of the change.

6. Intellectual property

The Service, including its software, design, text, and graphics (excluding data you enter), is owned by Iron North Ledger and protected by applicable intellectual property laws. You retain all rights to the trade and portfolio data you enter into the Service. You grant us a limited license to host, store, and process that data solely to provide the Service to you.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY COMPUTATION, REPORT, OR EXPORT PRODUCED BY THE SERVICE WILL BE ACCURATE OR SUITABLE FOR YOUR TAX FILING PURPOSES.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IRON NORTH LEDGER AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, INCLUDING ANY ERRORS OR OMISSIONS IN ANY COMPUTATION, REPORT, OR EXPORT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. [Counsel note: this section should confirm whether Ontario's Consumer Protection Act, 2002 or other applicable consumer-protection legislation limits how far this clause can go for individual consumers, and set an appropriate liability cap if needed.]

9. Indemnification

You agree to indemnify and hold Iron North Ledger and its operators harmless from any claim, demand, loss, or damages, including reasonable legal fees, arising out of your use of the Service or your violation of these Terms.

10. Termination

You may stop using the Service and request deletion of your account at any time by contacting us (see Section 12). We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, engaged in conduct that harms the Service or other users, or as required by law. Where practical, we will provide notice before termination. Sections of these Terms that by their nature should survive termination (including Sections 2, 7, 8, 9, and 11) will survive.

11. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of- law principles. This applies to all users, including those located in the United States or elsewhere outside Canada — by creating an account or using the Service, you agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ontario. [Counsel note: this choice-of-law and forum-selection clause has not been confirmed as enforceable against U.S.-resident consumers specifically — some U.S. states limit how far a consumer can be made to waive access to their home courts or their state's consumer-protection statutes by contract. Please confirm this clause holds as applied to US users, and whether an arbitration clause or a different dispute-resolution mechanism is preferred, before this is treated as final.]

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms here with a new "Last updated" date, and for material changes we will make reasonable efforts to notify account holders (such as by email). Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
